TERMS & CONDITIONS
Effective Date: October 23rd, 2025
These Terms & Conditions (“Agreement”) govern all insurance brokerage, advisory, and risk management services provided by Cory Washington & Co. LLC (“Cory Washington & Co.,” “we,” “us,” or “our”) to you (“Client”).
By engaging our services, receiving communications from us, or transacting business through any of our platforms, you agree to the terms outlined below.
1. DEFINITIONS & SCOPE
This Agreement applies to all services rendered by Cory Washington & Co. LLC in our capacity as an Insurance & Risk Management Firm, including but not limited to:
Advisory, placement, renewal, and claims-related services;
Risk assessments and consulting engagements;
SMS or digital communications; and
Self-service or third-party insurance links made available through our platforms.
Unless expressly modified by a separate written agreement, these Terms represent the full understanding between the parties.
2. CLIENT RESPONSIBILITIES
You agree to:
Provide accurate, complete, and timely information that is material to your insurance or risk profile.
Review all policy documents, binders, and certificates upon receipt and promptly notify us of any inaccuracies.
Immediately inform us in writing of any material changes in operations, exposures, ownership, or contact information, including:
Changes to business activities, location, payroll, revenues, or assets;
Expansion into new states, products, or industries;
Modifications to contracts or vendor relationships that may affect insurance obligations.
Failure to disclose material information may void coverage, result in claim denial, or limit benefits under your policy. Cory Washington & Co. LLC is not responsible for losses arising from incomplete or inaccurate client disclosures.
3. OUR SERVICES
Cory Washington & Co. LLC acts solely as an independent intermediary between clients and insurers. Our role includes:
Identifying and recommending insurance products and carriers suited to your needs;
Negotiating with underwriters to secure favorable terms and coverage;
Assisting with renewals, claims advocacy, and risk management support.
We do not guarantee insurer solvency, policy issuance, or claims payment.
We do not provide legal, tax, or accounting advice unless separately retained under a written consulting agreement.
We may place coverage through affiliated intermediaries, MGAs, or other licensed entities, and may subcontract certain administrative or analytical functions when necessary.
4. FEES, COMPENSATION & TAXES
Our firm may be compensated through:
Broker commissions paid by insurance carriers;
Service or policy fees disclosed in advance of binding coverage; or
Advisory or consulting fees where applicable.
All fees are exclusive of applicable taxes unless expressly stated otherwise.
You authorize us to receive compensation from carriers or intermediaries as part of standard market practice.
5. LIMITATION OF LIABILITY
To the fullest extent permitted by law:
Direct Damages Only: Our liability is limited solely to direct losses caused by our proven negligence, gross negligence, or willful misconduct.
Exclusions: We shall not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, goodwill, or data.
Aggregate Cap: Our total aggregate liability, whether in contract, tort, or otherwise, shall not exceed $1,000,000 per claim or series of related claims.
Claims Period: Any claim against Cory Washington & Co. LLC must be made in writing within 30 days of the date the issue was discovered or reasonably should have been discovered.
You agree to indemnify and hold us harmless against any third-party claims arising from your acts, omissions, misrepresentations, or failure to fulfill obligations under these Terms.
6. CONFIDENTIALITY & DATA PRIVACY
Both parties agree to maintain the confidentiality of proprietary and sensitive information shared in the course of engagement.
Confidentiality obligations survive for two (2) years following termination of this Agreement.
Disclosures required by law, regulation, or court order are permitted with reasonable notice, when practicable.
Cory Washington & Co. LLC complies with all applicable federal and state data protection laws, and processes personal data in accordance with our published Privacy Policy.
7. SMS TERMS OF SERVICE
By opting in via any form, application, or platform, you consent to receive SMS communications from Cory Washington & Co. LLC.
Purpose: Notifications may include account updates, renewals, payment reminders, claim updates, and occasional promotional content.
Frequency: Varies based on account activity.
Charges: Message and data rates may apply.
Opt-Out: Reply “STOP” to unsubscribe at any time.

Privacy: SMS consent and phone numbers are not sold, rented, or shared with any third party.
All messaging practices comply with the Telephone Consumer Protection Act (TCPA) and CAN-SPAM Act where applicable.
8. TERMINATION
Either party may terminate this Agreement upon 14–30 days’ written notice, subject to any ongoing policy obligations or unpaid fees.
Upon termination:
All commissions and service fees earned or incurred prior to the effective date of termination remain due and payable.
Cory Washington & Co. LLC retains the right to complete pending transactions and ensure proper policy administration.
9. FORCE MAJEURE
Neither party shall be held liable for delays or failures in performance caused by events beyond reasonable control, including but not limited to natural disasters, pandemics, regulatory actions, cyber incidents, or infrastructure failures.
10. GOVERNING LAW & DISPUTE RESOLUTION
This Agreement is governed by the laws of the State of Nevada, without regard to conflict of law principles.
All disputes shall be resolved exclusively in the state or federal courts located in Clark County, Nevada, and both parties consent to the jurisdiction and venue of those courts.
11. MODIFICATIONS & ENTIRE AGREEMENT
We may amend these Terms periodically by posting an updated version on our website or providing written notice.
Your continued use of our services or receipt of communications constitutes acceptance of the revised Terms.
These Terms supersede any prior agreements or understandings unless expressly modified by a written agreement signed by both parties.
12. SELF-SERVICE INSURANCE LINKS & DIRECT CARRIER ACCESS
For your convenience, our Site may provide links that allow you to apply for or purchase insurance directly from carriers or authorized third-party platforms.
By using these links, you acknowledge and agree:
You are solely responsible for the accuracy and completeness of all information submitted.
Policies purchased via these links are administered directly by the carrier, including all renewals, payments, and claims.
Use of self-service links does not create a brokerage, fiduciary, or advisory relationship with Cory Washington & Co. LLC.
We disclaim any liability for underwriting outcomes, coverage terms, or claim denials arising from carrier-controlled platforms.
Once redirected, your information is governed by the third party’s privacy policy and terms of use.
If you wish to receive professional brokerage or advisory assistance, you must engage our firm directly.

Policy Management: Policies purchased through third-party links are your responsibility to review, manage, and maintain with the carrier directly.
No Advisory Relationship: Use of these links does not create a broker-client, fiduciary, or advisory relationship with Cory Washington & Co. LLC.
